1. Acceptance
By accessing or using CitAlert, you agree to be bound by these terms. If you do not agree, do not use the service.
2. Service Description
CitAlert is a compliance monitoring platform that tracks publicly available CMS data, including nursing home citations, star ratings, and inspection results. The service is provided on a subscription basis.
3. Accounts
- You must sign in with a valid Google or Microsoft account
- You are responsible for all activity under your account
- One person per account; do not share credentials
- You must be at least 18 years old to use the service
4. Organizations
Organizations are created and managed by their admins. Admins control membership, roles, and data within their organization. Data is isolated between organizations.
5. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Attempt to access data belonging to other organizations
- Interfere with or disrupt the service
- Reverse engineer or scrape the platform
- Resell or redistribute the service without permission
6. Intellectual Property
All rights, title, and interest in CitAlert, including its software, design, logos, and content (excluding user-provided data and public CMS data), are owned by CitAlert. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service. You may not copy, modify, distribute, or create derivative works of the platform.
7. Data Accuracy
CitAlert pulls data from public CMS datasets. While we strive for accuracy, we do not guarantee that CMS data is complete, current, or error-free. CitAlert should not be used as the sole basis for regulatory, legal, or clinical decisions.
8. Payment
Subscriptions are billed monthly per organization. Pricing is listed on our website and may change with 30 days notice. Refunds are not provided for partial billing periods.
9. Termination
You may cancel your subscription at any time. We may suspend or terminate accounts that violate these terms. Upon termination, your data will be deleted within 30 days.
10. Disclaimer of Warranties
CitAlert is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, CitAlert and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the service. Our total liability for any claim related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, internet outages, government actions, or cyberattacks.
13. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.
14. Changes
We may update these terms from time to time. If we make significant changes, we will notify you through the app before the changes take effect. Continued use of the service after changes constitutes acceptance of the updated terms.
